Vendor Terms of Service & Privacy Policy

(Onboarding, Referrals & Fees)

1. Relationship

Vendor is an independent contractor. Nothing herein creates an employment, agency, partnership, or joint venture.
RL is a referral platform only.

2. Referral Role & No Guarantees

RL may introduce Vendors to potential clients. RL makes no guarantees regarding:
  • referral volume
  • job size
  • job quality
  • client behavior
  • revenue
All business decisions remain solely with Vendor.

3. Vendor Responsibility

Vendor is solely responsible for:
  • all services performed
  • pricing and contracts
  • workmanship
  • warranties
  • employees and subcontractors
  • licenses, permits, and certifications
  • insurance coverage
  • compliance with all laws

4. Reporting & Payment Transparency

Vendor agrees to:
  • truthfully report all referred work
  • accurately report invoice amounts and payments received
  • pay referral fees as agreed
  • provide documentation upon request
Failure to report or misrepresentation constitutes a material breach.

5. Fees & Payments

Referral fees are governed by the Referral Agreement and Addendum.
Fees are calculated based on amounts actually received, regardless of job completion.

6. No Circumvention

Vendor shall not attempt to bypass RL to avoid referral fees, including indirect arrangements or delayed billing.

7. Limitation of Liability

RL shall not be liable for:
  • Vendor's work
  • client disputes
  • payment issues
  • damages of any kind
RL's maximum liability shall not exceed referral fees actually received for the applicable referral.

8. Indemnification

Vendor agrees to indemnify and hold harmless RL from any claims, damages, losses, regulatory actions, or disputes arising from:
  • Vendor services
  • Vendor representations
  • client claims
  • regulatory or compliance issues

9. Data & Privacy

Vendor data is used for:
  • onboarding
  • vetting
  • referral facilitation
  • platform operations
RL may share Vendor information with Users to facilitate referrals.

SMS/Text Message Communications

By providing a phone number and submitting an application, Vendor expressly consents to receive SMS/text messages from Real Landlording LLC related to:
  • new referral notifications
  • application status updates
  • platform announcements
  • important account notifications
Message frequency varies based on referral activity. Message and data rates may apply. Vendor may opt out of SMS communications at any time by replying STOP to any message. Opting out of SMS does not affect email communications or platform access, but may impact timely receipt of referral notifications.

10. Suspension & Termination

RL reserves the right to:
  • suspend or remove Vendors
  • pause referrals
  • terminate participation at its sole discretion for quality, compliance, non-payment, or reporting issues.

11. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania.

12. Service Standards & Responsiveness

Vendor agrees to conduct its business in a professional, timely, and commercially reasonable manner when engaging with clients referred by Real Landlording. Vendor shall make reasonable efforts to respond to referral inquiries within twenty-four (24) hours of receipt, unless otherwise agreed in writing or prevented by circumstances beyond Vendor's control.
Vendor acknowledges that maintaining responsiveness, professionalism, and service quality is essential to the integrity of the Real Landlording platform and community. Failure to meet reasonable service standards, including repeated failure to respond to referrals in a timely manner, may result in reduced referrals, suspension, or removal from the platform, at Real Landlording's sole discretion.
Vendor further acknowledges and agrees that referral fees may be charged for successful jobs in accordance with the Referral Agreement and applicable Referral Fee Addendum.

13. Acceptance

By submitting an onboarding request or accepting referrals, Vendor agrees to these Terms & Privacy Policy.

14. No Endorsement / No User Reliance on Documentation

Vendor acknowledges and agrees that any licenses, insurance certificates, certifications, or other documentation provided to Real Landlording LLC are collected solely for internal platform and operational purposes.
Vendor further agrees that:
  • Real Landlording does not verify, audit, or guarantee the accuracy, sufficiency, or ongoing validity of any documentation provided
  • Real Landlording does not represent to Users that Vendor is licensed, insured, or qualified based on any documentation submitted
  • Vendor remains solely responsible for maintaining all required licenses, insurance, and certifications at all times
  • Vendor shall not represent, imply, or state to any User that Real Landlording has approved, certified, endorsed, or verified Vendor's qualifications or coverage
Vendor agrees to indemnify and hold harmless Real Landlording from any claim arising from Vendor's failure to maintain required documentation or from any representation made by Vendor regarding licensing, insurance, or approval status.
